EPF registration is mandatory for Indian startups with 20+ employees. Our guide covers the online process, contribution rates, and monthly compliance.

EPF Registration and Compliance for Startups

Short answer: EPF registration is mandatory for any business or startup with 20 or more employees under the Employees' Provident Funds and Miscellaneous Provisions Act, 1952. The process is done online through the EPFO portal. Both employer and employee contribute 12% of the employee's basic salary plus dearness allowance towards retirement savings. Failure to register and comply can lead to significant penalties and legal action.

When is EPF registration mandatory?

EPF registration becomes mandatory for an establishment the moment its employee count reaches 20. This count includes all employees, whether permanent, temporary, contractual, or trainees, who are drawing a salary. Once an organisation comes under the purview of the Act, it remains covered even if the employee count later falls below 20. The law aims to provide social security and retirement benefits to employees across India.

What is the process for EPF registration online?

The entire registration process is now digital and must be completed on the Unified Shram Suvidha Platform. First, the employer needs to register their establishment on the portal. This involves providing details of the business, directors, and primary manager. You will need your Digital Signature Certificate (DSC) to sign the application. Once the basic registration is done, you can apply for a new EPF code by filling out a detailed form and uploading the required documents.

Key steps include:

  1. Go to the EPFO's Employer Registration portal.
  2. Click on 'Establishment Registration'.
  3. Read the instruction manual and register using your details.
  4. Create a login and password.
  5. Fill in the Establishment Registration Form with details like PAN, address, and business activity.
  6. Attach the Digital Signature Certificate (Class 3 DSC) of the authorised signatory.
  7. Submit the application. The system will verify the details and, upon approval, issue an EPF establishment code.

What are the contribution rates for EPF, EPS, and EDLI?

The contribution is calculated on the employee's 'wages', which means basic salary plus dearness allowance (DA). Both the employer and employee contribute 12% of these wages. However, the employer's contribution is split into two schemes: the Employee's Pension Scheme (EPS) and the Employee's Provident Fund (EPF). There is also a small contribution towards the Employee's Deposit Linked Insurance (EDLI) scheme.

What documents are required for EPF registration?

You must have these documents ready in digital format before starting the online application:

  • For the Company/LLP:
    • PAN Card of the company or LLP.
    • Certificate of Incorporation issued by the Ministry of Corporate Affairs (MCA).
    • GST Certificate (if registered).
    • A cancelled cheque or bank statement showing the company's bank account details.
  • For Directors/Partners/Proprietor:
    • PAN Card of all directors/partners.
    • Aadhaar Card of the authorised signatory.
  • Other Details:
    • Digital Signature Certificate (DSC) of the authorised signatory.
    • Proof of address for the registered office (e.g., rental agreement, electricity bill).
    • A list of all employees with their name, date of birth, date of joining, salary details, Aadhaar, and bank account information.

What is a UAN and why is it important?

A Universal Account Number (UAN) is a 12-digit number allotted by the EPFO to each contributing member. It acts as a portable, permanent ID for the employee's entire career. The UAN links all of a member's Provident Fund (PF) accounts from different employers. This allows employees to easily manage their PF account, check their EPFO passbook, transfer funds between jobs, and process withdrawals online without depending on the employer.

It is the employer's responsibility to generate a UAN for any new employee who does not already have one and to ensure it is linked with the employee's KYC details (Aadhaar, PAN, and bank account).

What are the monthly compliance requirements after registration?

After obtaining an EPF registration code, a startup must comply with monthly requirements to avoid penalties. The primary compliance is the filing of an Electronic Challan cum Return (ECR).

  1. UAN Generation: Generate a UAN for all new employees.
  2. KYC Updation: Ensure all employees have their KYC (Aadhaar, PAN, Bank Details) linked to their UAN.
  3. ECR Filing: Every month, the employer must prepare and file an ECR on the EPFO portal. This file contains the salary and contribution details of every employee for that month.
  4. Payment: After filing the ECR, a challan is generated. The employer must pay the total contribution (both employee and employer share) and admin charges by the 15th of the following month. For example, the contribution for September must be paid by 15th October.

Can a startup register for EPF voluntarily?

Yes, a startup or any establishment with fewer than 20 employees can opt for voluntary EPF registration. This can be a valuable employee retention tool, as it demonstrates the company's commitment to employee welfare and long-term financial security. The process for voluntary registration is the same as for mandatory registration. Once registered voluntarily, the establishment is treated the same as any other, and all rules, contribution rates, and compliance requirements apply.

Worked example

Let's consider 'CodeCraft Innovations Pvt. Ltd.', a Bengaluru-based startup with 22 employees. One of their employees, Rohan, has a monthly 'wage' (Basic + DA) of ₹70,000.

Here's how his monthly EPF contribution is calculated for September 2026:

  1. Employee's Contribution:

    • 12% of ₹70,000 = ₹8,400. This amount is deducted from Rohan's monthly salary.
  2. Employer's Contribution (Total: 12% of ₹70,000 = ₹8,400):

    • Contribution to EPS: 8.33% on the wage ceiling of ₹15,000 = ₹1,250.
    • Contribution to EPF: The balance of the employer's share goes to EPF. (Total Employer Share - EPS Share) = ₹8,400 - ₹1,250 = ₹7,150.
  3. Total Contribution to Rohan's EPF Account:

    • Employee's Share + Employer's EPF Share = ₹8,400 + ₹7,150 = ₹15,550.
  4. Employer's Other Contributions:

    • EDLI Contribution: 0.50% on the wage ceiling of ₹15,000 = ₹75.
    • EPF Admin Charges: 0.50% on ₹70,000 = ₹350.

By 15th October 2026, CodeCraft Innovations must deposit a total of ₹17,275 for Rohan (₹8,400 Employee + ₹8,400 Employer + ₹75 EDLI + ₹350 Admin Charges). This process is repeated for all 22 employees.

Common mistakes

  1. Ignoring the 20-employee threshold: Many startups fail to track their employee count (including contractual staff) and miss the mandatory registration deadline, leading to backdated contributions and penalties.
  2. Incorrect wage calculation: Omitting allowances like Dearness Allowance from the 'wages' for PF calculation results in under-payment and compliance issues.
  3. Delaying monthly payments: Failing to deposit the EPF challan by the 15th of the next month attracts interest and damages.
  4. Misclassifying employees: Wrongfully labelling full-time employees as 'consultants' or 'freelancers' to evade EPF obligations is illegal and can lead to severe legal consequences.
  5. Not completing employee KYC: Failure to link an employee's Aadhaar and bank details with their UAN can prevent them from accessing their PF funds.

Frequently asked questions

What is the penalty for not registering for EPF?

Failure to register for EPF when it is mandatory can lead to significant penalties. The EPFO can levy damages under Section 14B of the EPF Act, which can be up to 100% of the amount of arrears. Interest is also charged on late payments. Further, non-compliance can lead to prosecution against the employer.

Are directors counted as employees for the EPF threshold?

Yes, if a director is drawing a salary from the company for services rendered, they are considered an employee for the purpose of the 20-employee threshold and EPF contributions. Non-executive or nominee directors who only receive sitting fees are generally not included.

Can an employee opt out of EPF?

An employee joining their first-ever job with 'wages' (Basic + DA) above ₹15,000 per month has the option to opt out of the EPF scheme. They must submit Form 11 to the employer, declaring their choice. However, if an employee was already an EPF member in a previous job, they must continue to be a member in subsequent employments, regardless of their salary.

Is EPF applicable to contract employees?

Yes. The principal employer is ultimately responsible for ensuring EPF compliance for workers engaged through a contractor who work in or in connection with the establishment. The employer can deduct the contribution amount from the contractor's bills.

How do I get an EPF code for my startup?

An EPF code, also known as the Establishment Code, is automatically generated and allotted to your startup upon successful completion of the online registration process on the EPFO's employer portal. This code is your unique identifier for all future correspondence and compliance with the EPFO.
