A non-disclosure agreement (NDA) in India protects confidential information through enforceable contractual obligations under the Indian Contract Act, 1872. Courts may grant injunctions and damages where the information, restrictions and evidence justify relief. For anyone preparing an NDA agreement in India, clear drafting, proper stamping and controlled disclosure matter more than aggressive penalties. An NDA generally cannot prevent an ex-employee from joining a competitor, although genuine confidentiality duties can continue after employment.

When do you need an NDA?

You need an NDA before sharing commercially sensitive information with someone who does not already owe adequate confidentiality obligations.

Common situations include:

  • Pitching to investors or potential business partners.
  • Hiring employees or consultants who access code, formulas, pricing or client lists.
  • Sharing designs, specifications or processes with manufacturers and vendors.
  • Discussing a merger, acquisition, reseller arrangement or joint venture.

Sign before disclosure wherever possible. If information has already been shared, identify those earlier disclosures expressly rather than assuming automatic coverage.

An NDA does not transfer intellectual property ownership. Development, licensing and employment agreements should separately address ownership, permitted use and deliverables.

Should you choose a one-way or mutual NDA?

Use a one-way NDA when only one party discloses confidential information and a mutual NDA when both parties disclose it.

Mutual wording is not automatically fairer. Check whether each party can comply with security, retention and reporting obligations, particularly when their systems differ.

What should an NDA agreement in India include?

An effective NDA should identify the protected information, permitted purpose, authorised recipients, duration and consequences of misuse.

Include these provisions:

  1. Parties and authority: Use correct legal names and authorised signatories. Contractual validity depends on requirements including competent parties, free consent and lawful consideration and object under Sec. 10 Indian Contract Act, 1872.
  2. Confidential information: Identify categories such as source code, formulas, product roadmaps, unreleased features, non-public pricing and customer data. “All business information” alone invites disputes. Cover oral disclosures, preferably with written confirmation within an agreed period.
  3. Exclusions: Exclude information lawfully public, already known without restriction, independently developed or lawfully received from an unrestricted third party.
  4. Permitted purpose and recipients: Limit use to the stated evaluation or engagement. Permit need-to-know disclosure to identified employees or advisers subject to appropriate confidentiality duties.
  5. Compelled disclosure: Allow legally required disclosure, with advance notice where lawful and disclosure limited to what is necessary.
  6. Security and incident reporting: Require proportionate safeguards, access controls and prompt notification of suspected unauthorised disclosure.
  7. Duration and exit: Separate the disclosure period from surviving confidentiality duties. Two to five years is common, not statutory. Genuine trade secrets may require protection while they remain secret. Address return, deletion, backups and legally required retention.

What will Indian courts enforce?

Indian courts can enforce genuine confidentiality obligations, but they scrutinise restraints on trade, unsupported claims and excessive compensation demands.

Sec. 27 Indian Contract Act, 1872 contains a limited statutory exception concerning sale of goodwill. It does not generally validate post-employment non-competes merely because they are short or geographically narrow.

Injunctions may be sought under the Specific Relief Act, 1963, with temporary relief governed by applicable procedural law. An interim application ordinarily requires a prima facie case, balance of convenience and risk of irreparable injury. An NDA clause cannot guarantee an order or a timeline.

Damages under Sec. 73 Indian Contract Act, 1872 require legally recoverable loss caused by the breach, not remote or speculative figures. Sec. 74 Indian Contract Act, 1872 permits reasonable compensation up to the contractual ceiling, not automatic payment of the named sum. Proof requirements depend partly on whether loss can reasonably be quantified.

How should you stamp and sign an NDA?

An NDA should bear the applicable state stamp duty and be signed by authorised parties, without treating notarisation as a substitute for stamping.

In Karnataka, an ordinary NDA may fall under the agreement provisions of the Karnataka Stamp Act, 1957. Classification and duty depend on substance, execution circumstances and current amendments. Do not assume a downloaded template’s ₹100 or ₹200 stamp-paper instruction is correct.

For an instrument executed in Karnataka, arrange applicable stamping before or at execution, including through an authorised e-stamping facility. Special rules can apply to instruments executed elsewhere.

An insufficiently stamped chargeable instrument ordinarily faces an evidentiary bar until the defect is cured through the prescribed duty-and-penalty process. This does not mean every unstamped NDA is automatically void.

An ordinary NDA generally needs neither notarisation nor compulsory registration. Electronic execution may be used where legally valid, but signing electronically does not remove stamp-duty obligations.

What does a costed NDA breach example show?

A useful worked example separates provable loss from assumptions about copying and contractual penalties.

Illustration, not a reported case: A Bengaluru SaaS startup shares its roadmap with a potential reseller under a properly stamped mutual NDA covering “product roadmaps and unreleased features”. Six months later, the reseller launches a similar feature.

Similarity alone does not prove misuse. Suppose access logs and correspondence establish unauthorised use, and supporting records show:

Recovery depends on causation, reasonableness, mitigation and evidence, without double-counting. Litigation costs are separately subject to applicable rules and court discretion.

Even if the NDA names ₹10,00,000 as compensation, that amount is not automatically payable. The startup may also seek urgent injunctive relief, but neither stamping nor precise wording guarantees success within weeks.

Which mistakes weaken an NDA most?

The biggest mistakes are relying on unsuitable templates and failing to preserve evidence of confidentiality and misuse.

Avoid foreign-law templates without Indian review, vague definitions, missing survival periods, incorrect stamping and post-employment non-competes disguised as confidentiality clauses.

Operational discipline matters too: mark sensitive files, restrict access, maintain disclosure records and revoke credentials when engagements end. Preserve original emails and logs after suspected misuse rather than altering records during an internal investigation.
